BonifiQ, a Brazilian company that builds loyalty and retention programmes for retailers, has acquired Biso, a Brazilian startup whose AI agent lets retail managers ask questions about their business in plain language. The deal was first reported on November 3, 2026, by Broadcast+, the Estadão news service, and BonifiQ announced it on its blog on November 4.

Broadcast reported that the deal closed for R$30 million (about $5.5 million), in a report republished by Sem Pauta News. BonifiQ's own announcement did not state a price, and the split between cash and shares was not disclosed. It is BonifiQ's first acquisition.

Biso becomes part of BonifiQ's product range under the name AI Agent Biso by BonifiQ. BonifiQ said nothing changes in what customers of either company have already signed up for: platforms, support and teams stay the same, and the two products will be integrated gradually without disrupting operations.

What Biso built

Biso was founded in 2021, according to its website, by Breno Berman, its chief executive. Jonathan Raphael is its chief technology officer and Victor Braga its chief commercial officer. The company set out to bring a retailer's ecommerce data together in one place and make it usable for decisions.

Its software works only with retail. It pulls in data from online stores, ERP systems, physical shops, marketplaces, customer service, CRM, paid media and web analytics, so a manager can ask a question and get an explanation of what is happening along with a suggested next step. In 2025 the company launched Agente Biso, its conversational agent, and it also offers scheduled analyses that track whether recommended actions were carried out. Biso is listed as an Elite partner of the ecommerce platform VTEX and has an app in the VTEX App Store.

According to Sem Pauta, Biso uses AI to analyse sales, marketing, inventory, product and consumer behaviour data, and its analyses are meant to guide personalised campaigns, incentives, cashback and retention efforts. That last step is where BonifiQ's products come in.

Biso's site lists a 2022 recognition at Web Summit among five global startups, second place in the VTEX Accelerator in 2023 and a place in Microsoft for Startups the same year. In 2024 it expanded abroad and says it now has more than 30 partners and a presence in more than 10 countries. Named clients on its site include Intelbras, Mantecorp, Yamaha, Wella, Vitafor, Crocs, Calvin Klein and Ajinomoto.

Why BonifiQ is buying

BonifiQ framed the deal as joining two sides of retail. In its account, BonifiQ has always worked on the shopper's side, while Biso works on the operations side: Biso shows where an opportunity lies, and BonifiQ turns it into an action aimed at the consumer.

Several brands already used both products, including Vitafor, Integralmédica and Ajinomoto. At Vitafor, consumers reached by campaigns from both companies bought 2.5 times as often as other customers and spent 7.2% more per order, Sem Pauta reported. An earlier BonifiQ case study on the toy retailer ToyMania said that after it adopted Biso, its customer acquisition cost fell 32%, revenue rose 21% and average order value grew 77%.

BonifiQ customers will be able to buy Biso, and Biso customers will be able to buy BonifiQ. BonifiQ plans to double its revenue in 2027 through the integration, Sem Pauta reported, without saying how much of that would come from Biso.

The two companies

BonifiQ was founded in 2022 and has annual revenue of R$12 million (about $2.2 million) and 52 employees, Sem Pauta reported. That puts the reported price at more than twice BonifiQ's yearly revenue. The company says it has created more than 400 loyalty programmes reaching 13 million consumers for more than 200 brands, among them Asics, Mizuno, Integralmédica, Dudalina and Acer. Its products are Loyalty, Affiliates, Engage and Academy, now joined by the Biso agent.

BonifiQ has raised two funding rounds, the latest a follow-on investment from Stamina Ventures; the amounts and dates were not disclosed. It said it is evaluating other acquisitions.

Biso has not disclosed any outside funding. It has taken part in startup programmes run by VTEX, Microsoft, Google and NVIDIA. Its headcount was not disclosed.

What happens to customers

Customer counts differ by source. BonifiQ's announcement said Biso works with nearly 180 retail brands, while Biso's own site claims more than 250 brands on its home page and more than 200 clients on its about page.

For those customers, BonifiQ said existing contracts, platforms and support teams stay as they are while the products come together over time. With Biso added, BonifiQ said it aims to cover the path from attracting a shopper to keeping one, with the retailer's whole operation in view.
