The Citation Group, a provider of compliance software and services to small and mid-sized businesses, said on 16 June 2026 that it had acquired PayCaptain, a London-based payroll software and managed payroll company. The deal completed the same day.
Financial terms were not disclosed. CapEQ advised PayCaptain's shareholders on the sale, and the law firm Freeths acted as their legal adviser.
PayCaptain will run as a dedicated payroll division within Citation, led by founder Simon Bocca as managing director. Existing PayCaptain clients will see no change to their service, platform or support, the companies said.
What PayCaptain built
Bocca founded PayCaptain in 2020. It sells payroll to UK employers in two forms: as software that a company runs itself, or as a fully managed service run by payroll specialists with CIPP qualifications. The platform uses AI-enabled tools, automation and reporting to process pay runs.
Its employee app is a large part of its pitch. Workers can see their earnings build up in real time, take emergency pay advances at no cost to them, set money aside as salary savings, and ask an in-app AI assistant to explain their pay in plain language.
PayCaptain describes itself as the UK's first B Corp-certified payroll provider. It says it is used by hundreds of UK employers, that its revenue nearly doubled year on year, and that it keeps 98% of its customers. The company did not disclose its headcount or any outside funding.
“Payroll is the one thing our clients ask us about more than any other, and now we have the perfect product.”
Why Citation is buying
Citation was founded in 1995 with roots in HR and health and safety advice. It now sells more than 15 products, covering HR, employment law, health and safety, workforce management, ISO accreditation, cybersecurity, e-learning and employee screening. It says it supports more than 120,000 businesses across the UK, Canada and Australia and employs close to 2,000 people.
"Payroll is the one thing our clients ask us about more than any other, and now we have the perfect product," said Chris Morris, Citation's chief executive. He added that the deal would let Citation act as "a single trusted partner across every major compliance need their business faces."
"Simon and the team have built something exceptional, and we are proud to have them in the group," Morris said.
PayCaptain's numbers before the sale
PayCaptain published figures for 2024 in January 2025. It said it reached breakeven that year, grew 85% year on year and ended 2024 with annual recurring revenue of £2 million (about $2.5 million), with a target of £3 million (about $3.8 million) for 2025. At the time it had 150 customers and paid about 30,000 employees each month.
The company said it had funded £10 million (about $12.8 million) of interest-free wage advances to its users by then, and that employees had put £1 million (about $1.3 million) into automated payroll savings. It had also won two Innovate UK Smart grants, which are public grants rather than equity investment.
"Just paying employees 'accurately and on time' is no longer good enough," Bocca said at the time.
What happens to customers
Over the coming months Citation plans to connect PayCaptain's capabilities to its HR and workforce management software, so that payroll and workforce compliance sit in one product. PayCaptain will still be sold on its own, either as software or with the managed service.
"The Citation Group is the right home for PayCaptain," Bocca said. He said joining the group would give PayCaptain "the scale, the distribution, and the platform" to pursue its aims, and that the two sides saw immediate opportunities for joint delivery.
Citation's second payroll deal in a year
The purchase follows Citation's 2025 acquisition of foundU, an Australian payroll software provider. Together the two deals point to Citation's stated plan to build a payroll service across its markets alongside its compliance platform.
James Pugh, the CapEQ partner who advised PayCaptain's shareholders, said Citation was "the right home for that mission."
