Factory acquires HumanLayer, its third startup purchase in about a month

HumanLayer, whose chief executive coined the term context engineering, built a shared workspace for teams running coding agents. Its founders join Factory, which is bringing HumanLayer's collaboration features into its Droids platform.

Factory, the San Francisco company that sells autonomous coding agents to large businesses, has acquired HumanLayer, a small Y Combinator startup that makes a multiplayer workspace for teams running coding agents. Both companies announced the deal on November 4, 2026, in posts titled HumanLayer is joining Factory.

Neither company disclosed the price or whether it was paid in cash or stock. Dealroom described the sum as undisclosed.

HumanLayer co-founders Dex Horthy and Kyle Mistele are joining Factory with their team. HumanLayer's platform will stay online for a transition period, which HumanLayer put at no less than 30 days, before users move to Factory or run the open-source version themselves. Factory said it would bring some of HumanLayer's best-known features into its own product over the coming weeks.

What HumanLayer built

HumanLayer calls its product a multiplayer control plane for a software factory. In practice it is a coding-agent environment, available as a desktop app, a web app and a cloud service, that gathers agent sessions, written plans and code diffs in one place so a team can review and discuss them together. Its parts can be used separately: teams can bring their own computers, development environments and agent harnesses, or use HumanLayer's full stack.

On October 23, 2026, less than two weeks before the deal, HumanLayer released its core software under the Apache 2.0 license. The release included the desktop and web apps, a background program shipped in the humanlayer command-line tool that runs Claude Code and Codex sessions on a user's own machines, the cloud API, plugins for other agent tools and integrations with GitHub, Linear, Jira and Slack.

The company was also known for its writing. Horthy says in his Y Combinator profile that he coined the term context engineering in April 2025. HumanLayer published 12 Factor Agents, a set of principles for building agents, and a Research, Plan, Implement method for coding agents, and its founders said their writing and talks drew millions of views.

The founders and the funding

HumanLayer was founded in 2023 and is based in San Francisco, according to Y Combinator, which backed it in its Fall 2024 batch and lists a team of two. Before HumanLayer, Horthy spent seven years at Replicated, a Series C developer-tools company, in engineering, product and executive roles. He first wrote code as a high school student at NASA's Jet Propulsion Laboratory.

Neither company disclosed HumanLayer's total funding. The startup-tracking site VCBacked lists a $500,000 pre-seed round in December 2024 from Y Combinator. In their farewell post the founders thanked their investors and named several individuals and the team at YC, without saying what part each played.

What happens to customers

Factory said HumanLayer has a devoted developer community with hundreds of daily active users. HumanLayer said its product is used by engineers in sensitive and highly regulated industries, at companies ranging from small startups to publicly traded enterprises. Neither gave revenue figures.

During the transition, users can export their data, move to Factory or self-host the open-source code. HumanLayer said it will refund paying customers for the last several months.

Factory said features coming to its platform in the next few weeks include multiplayer tasks and workstreams and the ability to collaborate inside the app on plans, product specs and design documents written by agents. HumanLayer's post also listed live streaming of session diffs.

Horthy and Mistele said in their post that the enterprise market needs a product family for orchestrating models and agents that is not tied to a single AI lab, and that joining Factory was the best way to get their tools to more people.

Factory's run of acquisitions

Factory was founded in 2023 by Matan Grinberg and Eno Reyes. Its agents, which it calls Droids, plan, build and test software inside a customer's own systems, rules and approved models. The company says hundreds of thousands of developers use it and names Nvidia, Blackstone, Royal Bank of Canada, Palo Alto Networks, Adobe and T-Mobile as customers.

In September 2026 Factory raised $200 million at a $5 billion valuation from investors including Blackstone, Khosla Ventures, Sequoia Capital, Insight Partners and NEA, taking its total funding past $400 million. It has since spent some of that on small teams. It bought Mentlio, a Y Combinator startup working on token allocation, on October 9, and Typedef, which maps how a company's data models and pipelines depend on each other, on October 30. HumanLayer is its third acquisition in about a month.

Dealroom noted that HumanLayer gives Factory a way to coordinate agents across a team rather than another code-generation model. The deal came on the same day that Meta acquired Conductor, which runs several coding agents in parallel, and OpenAI agreed to buy Pierre Computer Company, which builds Git storage for agents.
