Vena Solutions, the Toronto company that sells financial planning and analysis software, signed a definitive agreement to acquire Morpheo AI, a fellow Toronto startup that builds AI agents to prepare company data for use in AI systems, BetaKit reported on July 28, 2026. The companies did not disclose the price.
The deal still had to meet customary closing conditions. Vena chief technology officer Hugh Cumming told BetaKit he expected it to close in "weeks, not months."
Vena is buying both Morpheo's technology and its team. All seven Morpheo employees, including co-founders Sandesh Patil and Charly Lin, will join Vena once the deal closes, and Vena said it was creating a "special role" for the two founders within its AI product line.
What Morpheo AI built
Morpheo's main product is Omega, which BetaKit described as an agentic orchestration platform. According to Vena's announcement, as reported by Pulse 2.0, the software takes scattered enterprise data and prepares, curates, structures and enriches it so it can be used by advanced AI applications. The company combines large language models, reasoning systems and data engineering to build what it calls AI coworkers that run data workflows from start to finish.
Patil, Morpheo's chief executive, and Lin, its chief strategy officer, previously led data teams at insurers Manulife and The Co-operators. Cumming said Morpheo started from the view that large financial services companies would find it hard to pull their data together in a form AI could understand.
Morpheo's founding year, funding and investors were not reported.
“Morpheo was founded on the idea that large enterprises will struggle, in the financial services area, to bring their data together in a way that AI can make sense of it.”
Why Vena is buying
Cumming knew the founders and decided to try Morpheo's product inside Vena first. He told BetaKit the trial went better than expected: by the third customer pilot, the software was already beginning to change how implementations were carried out.
Vena plans to combine Omega with its own planning software to create Vena Omega, which it describes as a cumulative context engine. The product is meant to bring together a company's data with the definitions, assumptions, calculations, approvals and past decisions behind it, so that AI agents working on budgets and forecasts have the business context they need. Cumming argued that general-purpose foundation models are powerful but lack that company-specific knowledge.
The longer Omega runs inside a customer's systems, the more it learns about how finance teams use their data, Cumming said, which should help them prepare plans and update forecasts faster. He added that every one of Vena's competitors is thinking about the same problem. Vena said Morpheo's technology would also add capabilities to Acterys, another business it bought this year.
The buyer
Vena sells budgeting, forecasting and business planning software, built around Microsoft tools such as Excel and Power BI, to finance teams at medium and large companies. Its last disclosed equity round was a C$300 million (about $240 million) Series C from Vista Equity Partners in 2021, and BetaKit has also reported $25 million in financing from CIBC Innovation Banking.
The company passed $100 million in annual recurring revenue in 2024 and said last fall that it had more than 2,000 business customers. In February 2026, a spokesperson told BetaKit that Vena was EBITDA positive and expected to end the year close to $200 million in annual recurring revenue.
Second deal of the year
Morpheo is Vena's second acquisition of 2026. Earlier in the year it bought Acterys, an Australian app development platform, to move into operational planning within the Microsoft ecosystem.
Cumming said Vena still has a strong pipeline of products built in-house, but that its acquisition strategy would stay "opportunistic and purposeful." He said this has been an unusual year for software companies as they work out how to bring AI to their customers. Vena did not give a timeline for launching Vena Omega or say how existing Morpheo pilots would be handled.
