Sagility, a healthcare business-services company that works for US health insurers, said on June 11, 2026 that it had acquired CareSeed, a Kansas City, Missouri analytics company that helps health plans measure and report the quality of care their members receive. The announcement was made from Atlanta.

Terms were not disclosed. Houlihan Lokey acted as exclusive financial adviser to CareSeed, and Allrise Legal Counsel and Swanson Bernard served as legal counsel on the transaction.

Sagility said CareSeed's technology would be combined with its own clinical, operational and AI-enabled services to give health plans one provider for quality work, from HEDIS chart abstraction and reporting through to closing gaps in care, working with providers and tracking performance. CareSeed's chief executive, Thomas Mueller, said joining Sagility would let the company pair its quality analytics and HEDIS capabilities with Sagility's operational scale.

What CareSeed built

CareSeed was founded in 2012 and is based in Kansas City, Missouri. It specialises in quality reporting for health plans built around HEDIS, the set of quality measures certified by the National Committee for Quality Assurance (NCQA), alongside medical record review, chart abstraction and regulatory analytics. In the announcement Sagility tied that work directly to the Medicare Star Ratings that health plans try to improve.

The company sells two cloud products. Forecast is a cloud-native platform for NCQA-certified HEDIS reporting and quality analytics. Harvest is a cloud-based platform for medical record review, chart abstraction and the capture of supplemental data, the record-level evidence that health plans gather to support their quality reporting.

According to Sagility, CareSeed serves about 30 small and mid-sized US health plans, with a strong presence in Medicare Advantage. Its tools are used to improve HEDIS scores, speed up chart abstraction, prepare for audits and keep up with regulatory requirements. Sagility did not disclose CareSeed's revenue or headcount, and no outside funding for the company was reported.

Why Sagility is buying

Sagility describes itself as an AI-led business operations and services company focused only on US healthcare, with more than 25 years in the sector. It has nearly 50,000 employees across five delivery centres in the United States, India, the Philippines, Jamaica and Colombia, and counts more than 80 healthcare clients, including seven of the ten largest US health plans.

The company said the acquisition expands its quality and Stars work and supports a shift from looking back at HEDIS results once a year towards managing quality member by member throughout the year. Sagility also said CareSeed strengthens its position with mid-market payers and could open doors with larger national health plans.

Ramesh Gopalan, Sagility's managing director and group chief executive, said CareSeed had built strong capabilities in quality measurement, HEDIS reporting and healthcare analytics that had helped health plans deal with a complex regulatory environment.

What happens to customers

Sagility said the combined offer is meant to help health plans find and close care gaps earlier, improve member outcomes, lift their Star Ratings and produce more sustainable financial results. The announcement did not say whether CareSeed's existing clients would see changes to their contracts or to the Forecast and Harvest platforms.

Mueller said CareSeed's clients were under significant pressure to improve quality scores, optimise Stars performance and manage growing regulatory complexity. Neither company said whether the CareSeed brand would be kept or whether its leadership would take new roles inside Sagility.

From yearly reports to year-round work

Sagility said the deal advances a broader plan to move health plans beyond retrospective HEDIS reporting, where quality results are compiled after the fact, towards what it called integrated, member-level quality orchestration. In practice, the company said, that means following the full quality cycle: abstraction and reporting, prospective gap closure, provider engagement, care coordination and continuous performance monitoring.

Sagility also said the two CareSeed platforms create a modern foundation for transforming quality operations and managing the wider care continuum. The deal adds a software layer to a company whose business has been built on operations staff and services, and Sagility presented it as part of its effort to sell AI-led quality operations to payers of all sizes.
